Welcome to Entity Bridge Inc (“Entity Bridge”, the “Company”, “we”, “our”, or “us”). By accessing or using our website (EntityBridgeInc.com), purchasing any corporate entity or related services, or otherwise engaging in business with us, you agree to be bound by these Terms of Use (these “Terms”). These Terms constitute a legally binding agreement between you (the “User”, “Customer”, or “Buyer”) and Entity Bridge. If you do not agree to these Terms, do not use our website or services.

  1. Incorporation of Additional Policies

The following agreements and policies are incorporated into these Terms by reference and are also legally binding:

  • Corporate Entity Purchase Agreement: Governs all purchases of corporate entities from us. In case of any conflict, the terms of the Corporate Entity Purchase Agreement will control for those transactions.
  • Refund Policy: Details all conditions, limitations, and procedures regarding refunds (if any) and cancellations.
  • Privacy Policy: Describes how we collect, use, store, and protect your personal information.
  • Dispute Resolution Policy: Mandates binding arbitration for disputes and outlines the procedures for resolving any issues.
  • FTC Disclosures: Contains important notices and disclaimers required by the U.S. Federal Trade Commission, which all users and customers should review to understand our advertising and compliance commitments.
  • Any other specific agreements or policies that are referenced on our site or provided to you during a purchase of services (for example, specific terms for a promotion or additional service).

By using this website and/or purchasing a corporate entity or related services, you acknowledge that you have read and agree to all of the above policies, which are incorporated herein.

2.1. Notices and Communication: You agree that all communications from us – including legal notices, disclosures, agreements, and other important information – may be delivered to you electronically (via the email address you provide, via our website, or other electronic means). Electronic delivery will satisfy any legal requirement that such communications be in writing. It is your responsibility to keep your contact information (especially your email address) up to date with us.

  1. Eligibility & Business Purpose

3.1. Business-to-Business Transaction: All products and services offered by Entity Bridge are intended for business or commercial use only. We do not offer products/services for personal, family, or household use. By making a purchase from Entity Bridge, you represent and warrant that you are acquiring our services or any corporate entity solely for legitimate business, investment, or commercial purposes.

3.2. Non-Consumer Agreement: You acknowledge that you are not a “consumer” as defined under any consumer protection law in relation to your use of our services. Therefore, certain consumer-focused laws and protections may not apply to our transactions. However, nothing in these Terms is intended to waive any rights or protections that are unwaivable under law. If any law implies a non-waivable term, that term is incorporated as required.

  1. Authorization to Contact & Automated Communications

4.1. Consent to Contact: By submitting your contact information through any form on our website, by making a purchase, or by otherwise initiating communication with Entity Bridge, you expressly consent and authorize Entity Bridge and its affiliated service providers to contact you through any of the following methods:

  • Phone calls (including manual calls, auto-dialed calls, AI-assisted calls)
  • SMS/Text messages (including automated or AI-assisted texts)
  • WhatsApp or other messaging app communications
  • Facebook Messenger or other social media messaging platforms
  • Emails (using either personal or automated systems)
  • Pre-recorded voice messages or voicemails

This consent applies even if your number is on a Do-Not-Call list or similar registry, to the extent allowed by law. You acknowledge that no further written consent is required for these communications. Message and data rates may apply if you receive SMS or data-based messages.

4.2. Opting Out: You may opt out of receiving automated communications from us at any time by following the opt-out or “unsubscribe” instructions provided in the message (for example, replying “STOP” to an SMS, or clicking an unsubscribe link in an email). Opting out of automated communications does not revoke consent for non-automated, important business communications – we may still contact you manually (or as required by law or regarding active transactions) for essential purposes such as providing services, updates on your order, or responding to your inquiries. To fully revoke consent to be contacted, please contact us directly to ensure we appropriately mark and respect your preferences.

4.3. Recording and Monitoring: You acknowledge and agree that calls or messages with our team may be recorded or monitored for quality assurance, training, and record-keeping purposes. All interactions are subject to our Privacy Policy.

  1. Website Usage Restrictions

By accessing and using Entity Bridge’s website and services, you agree to the following acceptable use policies:

  • Lawful Use Only: You will use the site and services only for lawful purposes. You will not engage in any fraud, illegal activities, or unauthorized use of the website.
  • No Hacking or Disruption: You will not attempt to hack, reverse engineer, infect with malware, overload, or otherwise tamper with or disrupt our website, databases, or any related systems. Any attempt to compromise our security or functionality is strictly prohibited.
  • Truthful Information: You agree to provide truthful, accurate, and current information about yourself and, if applicable, your business when using our site or services (such as when filling out forms or during purchases). Misrepresenting your identity or affiliation is prohibited.
  • No Unauthorized Copying: You will not copy, reproduce, distribute, or create derivative works from any content on our website (such as text, graphics, logos, or documentation) without our express prior written permission. All content on the site is protected by intellectual property laws.
  • Respect for Company Reputation: You will not use our website to post or transmit any material that is defamatory, harassing, libelous, misleading, or invasive of someone’s privacy, including comments or content about Entity Bridge or others.
  • No Spam or Automated Use: You will not use any automated system (such as bots or scripts) to access our site for any harmful or disruptive purpose, including scraping data or sending unsolicited communications.

If you violate any of these restrictions, we reserve the right to terminate or restrict your access to EntityBridgeInc.com and our services immediately, and you may be subject to legal action and liability for any damages caused.

  1. Refunds and Cancellations

6.1. All Sales Are Final: Due to the nature of our services – which often involve significant upfront work, state filings, and/or the transfer of valuable corporate entities – all sales are final. Once a purchase is made or a service has been commenced, it cannot be canceled or reversed for a refund. We do not offer refunds or exchanges for any purchase of services or corporate entities, except in the extremely unlikely event that we are unable to deliver the service or entity as described and no suitable alternative can be provided.

6.2. Store Credit (Limited): At our sole discretion, and in extraordinary cases, Entity Bridge may offer a store credit to resolve a customer service issue. Store credits, if issued, may only be applied toward future services from us, and will expire if unused after six (6) months from the date of issuance. Store credits are not redeemable for cash.

6.3. No Guarantee of Outcomes: When you purchase a service or a corporate entity from us, you understand that you are paying for the product or service described – for example, an aged corporation or a formation service. We do not guarantee any particular business outcome (such as securing financing, credit approvals, or business success) from the use of our products and services. As such, dissatisfaction with business results or opportunities does not qualify for a refund, since we delivered the service or product as promised.

  1. Professional Conduct and Indemnification

7.1. Your Conduct: We expect all interactions between you and Entity Bridge (and our staff) to be conducted in a professional and respectful manner. This means communicating honestly and civilly. We reserve the right to refuse service or terminate ongoing services if a customer engages in abusive, threatening, or highly inappropriate behavior.

7.2. Indemnification: You agree to indemnify, defend, and hold harmless Entity Bridge, its owners, affiliates, officers, directors, employees, agents, and partners from and against any and all third-party claims, liabilities, losses, damages, or costs (including reasonable attorneys’ fees) arising out of or relating to:

  • Your misuse of the website or services,
  • Your breach of these Terms or any agreement incorporated by reference,
  • Your violation of any law or regulation, or
  • Any claim that your actions or omissions caused harm to a third party.

This means that if a third party sues Entity Bridge because of something you did in violation of our agreements or applicable law, you will be responsible for any costs or damages we incur as a result.

  1. Dispute Resolution & Arbitration

All disputes or claims arising out of or relating to your use of our website, your purchases, or these Terms shall be resolved in accordance with our Dispute Resolution Policy. In summary, you agree that most disputes will be resolved through our internal mediation process, and if not resolved, through binding arbitration on an individual basis rather than in court. You waive the right to a trial by jury or to participate in any class action or representative proceeding against us. Please refer to the Dispute Resolution Policy for the detailed terms, which include the arbitration procedures, the arbitration provider(s), and other important information. By agreeing to these Terms, you acknowledge that you have read and agree to the arbitration and dispute terms in our Dispute Resolution Policy.

  1. Modifications and Updates

Entity Bridge reserves the right to modify or update these Terms of Use at any time. If we make material changes, we will post the updated Terms on this website with a “Last Updated” date. Changes are effective immediately upon posting. It is your responsibility to review the Terms periodically for any updates. Your continued use of the website or our services after changes have been posted constitutes acceptance of the revised Terms. If you do not agree with a change, you must stop using our website and services.

  1. Unilateral Rescission of Prior Terms

Entity Bridge is committed to fair and transparent dealings. To avoid any confusion or conflict, we hereby rescind and nullify any prior contractual language that may have been used by Entity Bridge or any related entities (including any merchant processing partners) which could be interpreted as restricting a customer’s lawful rights to criticize or dispute our services. Specifically:

  • Any clause from previous terms or agreements that forbade or penalized truthful, factual public commentary (such as honest reviews or feedback) is void.
  • Any clause that imposed automatic financial penalties (like liquidated damages) for a customer initiating a dispute or chargeback, or for providing feedback, is void.
  • Any language that discourages lawful actions (like contacting regulatory authorities or sharing genuine experiences) is void.

This rescission is effective immediately and retroactively. However, this does not waive your obligations under our current dispute resolution and arbitration agreement. All disputes still must be handled as per our Dispute Resolution Policy (i.e., via arbitration as described). We simply want to ensure you retain the right to share honest feedback and utilize legal dispute channels without fear of punitive contract terms.

  1. Limitation of Liability

To the fullest extent permitted by law, Entity Bridge (including its officers, directors, employees, and agents) shall not be liable for any indirect, incidental, special, consequential, or punitive damages that result from your use of (or inability to use) our website or services. This includes, without limitation, damages for lost profits, lost opportunities, business interruption, goodwill, or data loss.

In no event shall the cumulative liability of Entity Bridge to you for any direct damages exceed the total amount you have paid us for the specific product or service that is the subject of the claim. If you have not paid us for any services, Entity Bridge’s liability is limited to fifty (50) euros.

This limitation of liability applies regardless of the legal theory under which such losses are claimed, even if we have been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of certain damages; in such cases, the above limitation may not fully apply to you to the extent prohibited by law.

  1. Force Majeure

Entity Bridge will not be held liable for any delay or failure in performance of our obligations if such delay or failure is caused by events beyond our reasonable control. This includes, but is not limited to: acts of God (e.g., flood, earthquake, hurricane), war, acts of terrorism, government actions or orders, strikes or labor disputes, pandemics or widespread illnesses, power failures, internet or communication outages, or any other event that is unforeseeable and outside of our control. During such events, our duties under these Terms are suspended until we can reasonably resume service.

  1. Severability

If any provision of these Terms is found by a court or arbiter of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms otherwise remain in full force and effect. In other words, the invalid part will be cut out, but the rest of the Terms will remain binding and enforceable.

  1. Entire Agreement

These Terms of Use, along with the additional policies and agreements expressly referenced and incorporated herein, constitute the entire agreement between you and Entity Bridge regarding the use of our website and services. They supersede any prior agreements, discussions, representations, or understandings between you and us, whether written or oral, relating to the same subject matter.

You acknowledge that you are not relying on any statement or promise that isn’t explicitly stated in these Terms or the incorporated policies. Any changes or exceptions to these Terms must be in writing and agreed by an authorized representative of Entity Bridge to be valid.

  1. Acceptance

By using our website, creating an account, submitting information, or purchasing a product or service from Entity Bridge, you confirm that you have read, understood, and agree to these Terms of Use and all incorporated policies in their entirety.
